Welcome to Harmony Circuits (the “Site”), operated by Harmony Circuits (“we,” “us,” “our,” or “the Company”). These Terms and Conditions (“Terms”) govern your access to and use of our website, including registration for events. By using this Site, you agree to comply with and be bound by these Terms. If you disagree with any part of the Terms, you must not use the Site.

1. Acceptance of Terms  

It is your responsibility to carefully read these Terms and Conditions (“Terms”) prior to using our Site, purchasing any of our products, or accessing any of our contents (collectively, “Services”). By accessing or using the Site, you agree to be legally bound by these Terms, which are incorporated herein by reference.

2. Eligibility  

You must be at least 18 years old to register or participate in any events offered through the Site. By using the Site, you represent and warrant that you meet this age requirement. If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. User Registration and Account Responsibilities  

3.1. Account Creation: To participate in events or access certain features of the Site, you may be required to create an account. You agree to provide accurate and complete information during registration and to keep this information updated.  

3.2. Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities under your account. You agree to notify us immediately of any unauthorized access to your account.  

3.3. Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any reason at our discretion.

4. Event Registration and Payment  

4.1. Event Registration: By registering for an event, you agree to pay all applicable fees as listed on the Site. Event details, including dates, times, and locations, are subject to change, and we will notify you of any changes.  

4.2. Cancellation and Refund Policy: Cancellations and refunds will be governed by our Cancellation Policy. Please review it carefully before registering.  

4.3. Third-Party Payment Processors: Payments may be processed through third-party payment processors. By providing your payment information, you agree to the terms and conditions of these processors. We are not responsible for any errors or issues arising from their services.

5. User Conduct  

You agree to use the Site responsibly and only for lawful purposes. You agree not to:  

- Impersonate any individual or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.  

- Use the Site to transmit or make available any content that is harmful, illegal, defamatory, invasive of another's privacy, or otherwise objectionable.  

- Interfere with or disrupt the Site, servers, or networks connected to the Site.  

- Attempt to gain unauthorized access to any part of the Site or other users’ accounts.

6. Intellectual Property Rights

6.2. Event Content: Content provided during events, including but not limited to presentations, materials, and recordings, is owned by Harmony Circuits and/or the event instructors. You agree not to copy, reproduce, distribute, or create derivative works from such content without prior written consent.  

6.3. License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site solely for personal, non-commercial purposes. You may not, under any circumstances, share, duplicate, copy, or sell the license to any Product or Service. All rights not expressly granted are reserved.

7. Disclaimer of Warranties  

The Site, including all content, services, and functionality, is provided “as is” and “as available,” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability  

To the fullest extent permitted by Canadian and Ontario law, Harmony Circuits shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Site or participation in events.

9. Indemnification  

You agree to indemnify, defend, and hold harmless Harmony Circuits and its affiliates, directors, officers, employees, agents, and instructors from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in any way connected with your use of our website, products, services, or any related communications:  

- Your access to or use of the Site or participation in events.  

- Your violation of these Terms.  

- Your infringement of any intellectual property or other rights of any third party.  

This indemnity also extends to any losses or expenses we incur due to your misuse of any licenses granted, failure to maintain the confidentiality or security of your account, password, or access rights to any purchased products. You further waive any right to bring claims or legal recourse against the Released Parties for any damages or losses you may incur as a result of using our website or services.

The Site may contain links to third-party websites. We are not responsible for the content or practices of any third-party sites, and you access such sites at your own risk.

11. Privacy

13.1 By participating in Harmony Circuits Inc. events, workshops, or activities, you grant us permission to take photographs and video recordings that may capture your likeness, voice, or actions. These may be used by Harmony Circuits Inc. for promotional purposes, including but not limited to:

- Social media platforms

- Website content

- Marketing materials

- Event recap publications

If you do not wish to be included in photos or videos, you must notify us in advance or at the time of the event or workshop.

13.2. Participant Consent

Your participation in Harmony Circuits Inc. events and workshops indicates your acknowledgment and agreement to this media release clause unless explicitly stated otherwise. We are not liable for the unauthorized use of images or recordings by third parties.

13.3. Opt-Out Request

Participants who wish to opt out of being included in any photos or videos can contact us at info@harmonycircuits.com or inform the event organizer directly. We will make reasonable efforts to accommodate such requests, but we cannot guarantee exclusion from group or incidental shots.

13. Your Responsibility  

If at any time you are required to create a username and password to access any Services, you are not allowed to share your password, and it is your responsibility to protect your username and password from theft or any other means of unauthorized use that would violate these Terms. If you become aware that your password has been compromised or your account has been breached, it is your responsibility to notify us immediately by sending an email to info@harmonycircuits.com.

14. Governing Law  

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to its conflict of law provisions.

15. Dispute Resolution  

In the event of a dispute, you agree to first attempt to resolve it informally by contacting us at info@harmonycircuits.com.  

You agree that any unresolved legal disputes arising out of or relating to these Terms or your use of our website or services shall be brought exclusively in the courts of Ontario, Canada.

16. Termination of Use  

We reserve the right, at our sole discretion, to terminate or suspend your access to our website, services, and any related communications if we believe you have violated these Terms. This termination may occur without prior notice and may include blocking or revoking your access to the site, services, and, if necessary, blocking your IP address to prevent further visits.
